January 31, 2012 – Toronto, Ontario – Innovative Composites International Inc. (TSXV: IC) (OTCQX: ICIZF), (“ICI” or the “Company”), a producer of patented protected composite products targeting the multi-billion dollar prefabricated modular housing and transportation markets, reported today that the revenue growth in its non-housing side of the business is progressing faster than originally anticipated.

Automotive Aftermarket

In June 2011, ICI announced its first purchase orders for the supply of composite panels to a leading North American automotive aftermarket company. The program was expected to achieve approximately $5 million in revenue annually within nine months.

As of today, sales of composite panels to this customer have already reached $4.2 million on an annualized basis and continue to grow each month. Once at full capacity, the Company expects the program to have a five to six year life span. ICI panels replace a conventional material previously used by the customer and offer superior strength to weight ratio, are impervious to weathering, rot and corrosion and are completely recyclable.

Tractor Trailer Market

Through the acquisition of Eleison, LLC, ICI now has the equipment and patents to produce fiber reinforced thermoplastic skin material at one of the lowest cost points in the industry. The purchase of Eleison also created relationships with several new customers in the transportation industry located in theUSAand inEurope. The product is being used to reinforce interior headliner and load floor applications. ICI has completed shipments to all of the new customers and is currently in the quoting process on several additional programs for the same material. ICI believes there is significant potential to grow revenue for this product from the $2 million annually, previously recorded by Eleison.

Management believes the product with the highest volume potential is likely a program to supply ICI’s composite panels to a manufacturer of exterior aerodynamic package for trucks, known in the industry as “trailer tails”.  According to ICI’s customer, the product provides fuel savings of up to six percent compared to tractor trailers without an aerodynamic package. The product is approved by the US Department of Transportation and is quickly gaining acceptance in the marketplace. High fuel prices and new legislation in theUSandEuropeare significant drivers of demand for transportation efficiency offerings and ICI believes its products are well suited for this market because of the superior strength to weight ratios.

 - South Carolina plant ramp-up proceeding on time and on budget  

January 26, 2012 – Toronto, Ontario – Innovative Composites International Inc. Mr. Roque has over 25 years of experience in plant operations, M&A and plant start ups with companies such as Woodbridge Corporation, BorgWarner, TRW and Fehrer Automotive, and is now joining the ICI team as COO/General Manager for Orangeburg Operations.  Most recently, Mr. Roque was CEO for Fehrer Automotive North America where he led a major business turnaround in US operations and was directly responsible for the start up of a new facility inAlabamasupplying parts to the Volkswagen Chattanooga operations as well as Daimler’sTuscaloosacar assembly plant.

Prior to Fehrer, Mr. Roque worked for TRW as corporate master lean officer, working with eight plants in the US, Canadaand Mexicodeveloping the strategic direction for lean manufacturing practices and continuous process improvement to meet company’s financial and operational results.  He also participated in the start-up of plants in China, India, Mexico, Brazil and Eastern Europe and developed new operations strategies for the US, Europe and Latin America.  Mr. Roque will play an integral part in the execution of the recently announced Brazilian housing agreement as he is originally fromBrazil and speaks fluent Portuguese.

Allan Landosky has over 30 years experience in complex system design and engineering applications, with General Electric, General Motors and Caterpillar. Prior to joining ICI Mr. Landosky was a manager of new product design at Caterpillar. His responsibilities included the introduction of significantly more efficient and environmentally friendlier equipment to the international marketplace. Prior to Caterpillar, Mr. Landosky was Global Validation Engineering Manager for 10 of his 23 years at GM where he worked at designing validation activity for the new line of hybrid vehicles. His experience with complex engineering applications and a track record in introducing new products are a valuable addition to ICI’s engineering team.

South Carolina Plant Update   

ICI is pleased to report that theSouth Carolinamanufacturing facility is progressing on schedule and on budget. Approximately 20% of the required equipment has arrived on site with the balance of the machinery expected through the end of February. ICI is currently completing minor leasehold improvements to prepare the building for the launch of operations. The newly appointed COO of the Company, Rubens Roque, has also begun the process of staffing the plant. A large, qualified labour pool is available in the area and ICI does not foresee any issues building a strong team to run the facility.

The 126,000 sq. ft. manufacturing facility is located inOrangeburg,South Carolina, 60 miles from theCharlestonocean port and is designed to produce approximately 5,000,000 sq. ft. of affordable housing per annum. At full capacity, the facility will generate over 300 jobs, and state and local authorities have assembled an incentive package totaling approximately $17 million to attract ICI. Initial production of the facility is scheduled for March 2012 with an official ribbon-cutting ceremony planned for April.

Financial Performance

ICI had approximate revenue of $487,000, an increase of 246.8% or approximately $346,000, for the 12-month period ended September 30, 2011 compared to approximately $140,000 for the fiscal year 2010. The record revenue for the period was a result of the beginning of market acceptance for its products and the beginning transition from a development stage company to a commercially active company during the fiscal year.  The Company expects fluctuations in its revenue initially as more products are introduced to the market place and the Company begins to ramp up its South Carolina facility.

Cost of sales for fiscal 2011 was approximately $399,000, up 227.6% or approximately $278,000 compared to fiscal 2010.  The increase was due to the increase in sales activity throughout the fiscal year.  On a percentage basis, cost of sales was 82.1% of sales during the 12-months ended September 30, 2011 versus 86.8% for the 12-months ended September 30, 2010. ICI expects continued improvements in its gross profit margin through continued strengthened relationships with suppliers, vertical integration, and achieving certain economies of scale through increased sales and capacity utilization.

Total expenses for the 12-months ended September 30, 2011 were $3.5 million, an increase of 23.0% or approximately $652,000 compared to $2.9 million for the same period last year.  The increase in expenses were the result of the overall growth and expansion of the Company, specifically relating to an increase in sales initiatives, expansion of the manufacturing facility in Michigan, ramping up several commercialization programs and costs incurred in new product and process development.

ICI recorded a net loss for fiscal 2011 of $5.6 million or $0.10 per share.  These compare to a net loss of $4.5 million, or $0.12 per share, for fiscal 2010.

Cash flow used in operating activities for fiscal 2011 were $4.1 million, an increase of approximately $400,000 compared to $3.7 million for fiscal 2010.  The increase is primarily due to increasing inventory and prepaid expenses as well as an increase in operating expenses as discussed previously.

At September 30, 2011, ICI had working capital of $7.2 million, including cash and cash equivalents of $6.6 million, compared to $1.4 million and $1.4 million, respectively, for 2010.
